1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Sierra International Network, Inc. ("SINI," "we," "us," or "our"), concerning your access to and use of the Stock in the Box program and website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Services and you must discontinue use immediately.

2. Eligibility

The Services are intended for users who are at least 18 years of age. By using the Services, you represent and warrant that:

1. You are at least 18 years of age;
2. You have the legal capacity and agree to comply with these Terms and Conditions;
3. You are not a minor in the jurisdiction in which you reside;
4. You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise;
5. You will not use the Services for any illegal or unauthorized purpose;
6. Your use of the Services will not violate any applicable law or regulation.

3. Stock in the Box Program

3.1 Program Description

The Stock in the Box program allows participants to earn equity in early-stage companies by performing various tasks as assigned via the Company's web application. Tasks can include clicking on an ad, video, or song. By completing these tasks, participants accumulate clicks that convert into ownership of stock in our portfolio of companies.

3.2 Equity Distribution

Equity is distributed based on the number of tasks completed and the specific terms of each campaign. The value of the equity is determined by accredited business appraisers, taking into account the latest funding round and other relevant factors. SINI reserves the right to modify the equity distribution formula at any time.

3.3 No Guarantee of Returns

Participation in the Stock in the Box program does not guarantee any financial returns. The value of the equity may increase or decrease over time, and there is no guarantee that any of the companies in our portfolio will go public or be acquired. Each startup in the SINI Pre-IPO program has a predetermined objective to go to the public market within 12 months, but this is not guaranteed and is subject to the startup's performance and management team's decisions.

4. User Accounts

4.1 Account Creation

To participate in the Stock in the Box program, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

5. Intellectual Property Rights

5.1 Our Content

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SINI, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your personal, non-commercial use. This license does not include any resale or commercial use of any part of the Services or their contents.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person.
• Make improper use of our support services or submit false reports of abuse or misconduct.
• Use the Services in a manner inconsistent with any applicable laws or regulations.
• Use automated scripts, bots, or other technological means to complete tasks in the Stock in the Box program.

7. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. SINI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SINI MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE.

9. Limitation of Liability

IN NO EVENT SHALL SINI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

10. Governing Law

These Terms shall be governed by and defined following the laws of the State of California. SINI and yourself irrevocably consent that the courts of California shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any changes by updating the "Last Updated" date of these Terms and providing notice through the Services. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
